Welcome to T. Law Consulting Inc (doing business as “F22 Clarity”). These Terms of Service (“Terms”) govern your access to and use of our website, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
1) Agreement to Terms
By using the Services, you represent that you are at least 18 years old and have the authority to enter into these Terms. If you do not agree, do not use the Services.
2) Services
F22 Clarity provides lead generation services and access to F22 Convert—our branded CRM and communications platform—to help you capture, respond to, and convert leads. We may update or modify the Services from time to time, including the addition or removal of features.
3) Accounts & Security
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You must promptly notify us of any unauthorized use or suspected breach.
- We may suspend or terminate access if we detect misuse or security risks.
4) Acceptable Use
You agree not to misuse the Services. Prohibited activities include (without limitation):
- Sending spam or unsolicited messages in violation of applicable laws (e.g., CASL, TCPA).
- Harassment, deceptive or fraudulent activity, or infringement of third-party rights.
- Attempting to probe, scan, or test system vulnerabilities or to bypass security.
- Using the Services to store or transmit malicious code.
5) Subscriptions, Pricing & Billing
- F22 Convert is offered as a subscription. Current pricing: $297 CAD/month for a single package (subject to change).
- Unless otherwise stated, subscriptions renew automatically until cancelled.
- You authorize us and our payment processors to charge your payment method for subscription fees and applicable taxes.
6) Free Trials, Cancellations & Refunds
- Any free trial will be specified at signup. At the end of a trial, billing begins unless you cancel.
- You can cancel at any time, effective at the end of the current billing period.
- Fees are generally non-refundable; partial-period refunds are not provided unless required by law.
7) Messaging & Fair Use
- High-volume messaging or telephony usage may require additional fees or throttling to preserve platform stability.
- You are responsible for obtaining and maintaining any numbers, registrations, or consents required by carriers or regulators.
8) Privacy & Data
- Our Privacy Policy explains how we collect, use, and protect personal information.
- You are responsible for your own compliance obligations, including notice/consent for your end users.
9) Text Messaging Terms
No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services (e.g., customer service) is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties, except aggregators and providers of the Text Message services necessary to deliver messages.
- By providing a phone number, you consent to receive texts related to your use of the Services.
- Message and data rates may apply. Message frequency varies.
- You may opt out at any time by replying STOP (help: HELP).
10) Third-Party Services
The Services may integrate with third-party platforms. We are not responsible for third-party services or their terms and policies.
11) Intellectual Property
- We and our licensors own all rights, title, and interest in and to the Services, including software, interfaces, and branding.
- Except as expressly permitted, you may not copy, modify, or create derivative works of the Services.
12) Customer Content
- You retain ownership of content you submit (“Customer Content”).
- You grant us a non-exclusive license to host, process, and display Customer Content solely to provide the Services to you and as otherwise permitted by these Terms.
- You represent that you have all necessary rights to the Customer Content.
13) Confidentiality
Each party may receive confidential information from the other. The receiving party will protect such information with no less than reasonable care and use it only for purposes of these Terms.
14) Feedback & Beta Features
- Feedback you provide may be used by us without restriction or compensation.
- Beta features may be identified as such and are provided “as is,” may change, and may be discontinued.
15) Uptime, Maintenance & Support
- We aim for reliable availability but do not guarantee uninterrupted access.
- We may perform maintenance, updates, or changes that temporarily affect availability.
- Support channels and response times may vary by plan.
16) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
17) Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
- OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
18) Indemnification
You will defend, indemnify, and hold harmless T. Law Consulting Inc (d/b/a F22 Clarity), its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Services, or your violation of these Terms or applicable law.
19) Governing Law & Venue
These Terms are governed by the laws of the Province of Alberta and the laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the provincial and federal courts located in Alberta, Canada.
20) Dispute Resolution
Before initiating formal proceedings, the parties will first attempt to resolve disputes in good faith. Nothing in this section limits either party’s right to seek injunctive or equitable relief.
21) Suspension & Termination
- We may suspend or terminate access to the Services if you violate these Terms or create risk/harm to us or others.
- Upon termination, your right to use the Services ceases immediately; certain provisions will survive (e.g., intellectual property, confidentiality, limitations of liability).
22) Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date will reflect the latest version. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
